This agreement applies to all types of dealings between the user and the store except for dealings related to personal status and transactions related to issuing deeds concerning the transactions related to the property. This agreement is considered valid and effective once you agree to it and start registering with Square according to Article Ten of the Saudi Electronic Transactions System. Article One - Introduction and Definitions: The above preamble is an integral part of this agreement, and below you will find the indications and definitions of the main phrases used in this agreement: 1. Square means Square, and this definition includes all forms of Square on the internet, whether an electronic application, a website, or a commercial store. 2. (User) means every consumer who purchases a product or service from the store via its electronic platform. 3. (Agreement) means the terms and conditions of this agreement, which govern and organize the relationship between the parties of this agreement. Article Two - Legal Eligibility of the User: 1. The user acknowledges that he is legally competent according to Sharia and system to deal with the store, or that his age is not less than eighteen years. 2. The user agrees that if he violates this article, he bears the consequences of this violation to others. Article Three - Nature of Square's Obligation: 1. Square's obligation towards consumers or users is to provide (the service or the product). 2. Square may provide other services such as after-sales services or other related services, depending on the nature and type of (service or product) requested by the user. Article Four - Rules for Using Square: 1. The user commits to using Square’s electronic platform in accordance with public morals and the applicable regulations in the Kingdom of Saudi Arabia. 2. The user commits not to use Square’s service or product in a manner that violates public morals and the applicable regulations in the Kingdom of Saudi Arabia. Article Five - Accounts and Registration Obligations: Upon applying for membership with Square as a user, you are obligated to disclose specific information and choose a username and a secret password to be used when accessing Square’s services. By doing so, you agree to: 1. Be responsible for maintaining the confidentiality of your account information and password, and to notify Square immediately of any unauthorized use of your account information or any other breach of your secret information. 2. Square shall not be liable under any circumstances for any loss that may directly or indirectly, morally or materially, result from disclosing your username or password. 3. You agree to use your account or membership with Square personally, as you are fully responsible for it, and if used by others, it is a presumption that you authorized them to use the store on your behalf and for your account. 4. You commit to using Square seriously and credibly. 5. You agree to disclose truthful, correct, updated, complete, and legal information about yourself as required during registration with Square and to update your data if changed or needed. 6. Square commits to handling your personal information and contact details with complete confidentiality. 7. If Square finds that you have disclosed false, incorrect, outdated, incomplete, illegal, or in violation of the terms of use, Square has the right to suspend, freeze, or cancel your membership, store, and account on the platform, without prejudice to Square’s other rights and legitimate means to recover its rights and protect other users. 8. Failure to comply with any of the above gives Square management the right to stop or cancel your store or membership or block your access to Square’s services again. Article Six - Electronic Communications and Official Communication Means: 1. The parties agree that communication is via the email registered on the platform. 2. The user agrees that all agreements, announcements, data, and other communications electronically provided are equivalent to written counterparts and are self-standing evidence to meet legal and regulatory needs. 3. The user agrees that communication and notification of any provisions related to this agreement or dealings with him can be made through general messages sent to all users or specific users of Square. Article Seven - Modifications to the Terms of Use and Fees: 1. Square may notify you of any modification to this agreement via official communication means under this agreement, and accordingly, your obligations or rights may increase or decrease based on any amendments made to this agreement. 2. If you object to any modification of the Terms of Use, Square hopes you will stop using its services, as merely logging into your Square account or using Square constitutes your full acceptance of the modifications and a complete, unambiguous agreement, and Square is open to discussing any suggestions regarding these provisions. 3. All fees are calculated in Saudi Riyals, and the user must pay all due fees on the platform plus any additional expenses added by Square, payable through approved and available methods via Square. 4. Square may impose fees on some users depending on the offers, products, or services they request or the fees or taxes imposed by the state on the nature of the product or service. 5. Square reserves the right to add, increase, decrease, or discount any fees or expenses under the provisions and terms of the Terms of Use, for any reason related to the users’ registration. Article Eight – Payment and Settlement Services for Stores in Square: 1. Square provides a payment and settlement system through its partners, which can be fully online via the available payment options on Square or through any payment method Square provides from time to time. 2. Square commits to setting the price of the service or product it offers in its store according to the recognized market value. 3. Square commits to providing invoices, collection vouchers, and receipt vouchers for all amounts and profits generated in its store, and to give the user an invoice for his purchase of a Square service or product. 4. Square commits to providing accounting specifications recognized in its electronic store, in accordance with the provisions of this agreement, and for the legal, economic, commercial, and regulatory interests involved. Article Nine - Your Personal Information and Transaction Details: 1. The user acknowledges that he grants Square an unlimited, global, permanent, non-cancellable, expense-free, licensed right to use personal or other information or materials provided or supplied by him to Square or announced on the platform through your joining or use, via designated contact and registration forms or any electronic message or communication channels available on the platform, to achieve any interests the platform sees fit. 2. The provisions of confidentiality regarding consumers’ information are subject to the "Privacy and Confidentiality Policy" of Square and the related provisions of this agreement concerning information confidentiality. Article Ten – Intellectual Property: 1. The intellectual property rights of Square are owned fully by Square, whether owned before or after establishing this electronic platform. 2. The user or consumer respects the intellectual property rights of Square, which include Square itself, words, logos, and other symbols displayed on Square, as Square and every right associated with Square are fully owned intellectual property rights of Square. Article Eleven - Square’s Responsibility: 1. Square commits to practicing its business through this electronic platform legally and according to the applicable laws and regulations in the Kingdom of Saudi Arabia, and in accordance with the provisions of this agreement. 2. Square is not liable for any claims arising from errors or negligence, whether directly or indirectly, accidentally, or through the user or third parties such as shipping companies. 3. Square, its employees, owners, and representatives commit to ensuring that Square operates legally, legitimately, and authorized under the laws and regulations of the Kingdom of Saudi Arabia and is used for legitimate purposes. Article Twelve – Confidentiality of Information: 1. Square adopts tangible, organizational, and technical standards to protect users and prevent unauthorized access to personal user information, and to preserve it. 2. As a user, you acknowledge that the internet is not a completely secure medium, and the confidentiality of your personal information cannot be guaranteed 100% via Square. 3. Square has no control over the actions of any third party or others, such as other websites linked to the platform or third parties claiming to represent you or others. 4. You agree and acknowledge that Square may use your provided information to deliver services to you on Square, send marketing messages, and that privacy at Square regulates the collection, processing, use, and transfer of your personal identity information, subject to the "Privacy and Confidentiality Policy" of Square. Article Thirteen - Access Restriction or Membership: Square may suspend or cancel the user’s membership or restrict the user’s access to the platform services at any time and without notice and for any reason, without specification. Article Fourteen – Return Policy: 1. Without prejudice to the provisions of the contractual and statutory warranty, the consumer has the right to replace the product provided by Square within seven days from the date of receipt, and cannot replace the product after passing seven days. 2. The condition for product replacement is that the product is in good condition and that the consumer has not used or benefited from the product, and Square has the right to inspect the product before replacement to ensure its safety. 3. The consumer cannot replace the product in the following cases: - If the product was manufactured according to the consumer’s request or specifications he set, except for defective products or those that violate the specifications set by the consumer. - If the product is a video tape, discs, or software that has been used. - If the product is newspapers, magazines, publications, books, or other creative works. - If a defect appears in the product due to poor handling by the consumer. - If the contract involves providing accommodation, transportation, or catering services. - If the contract involves purchasing software downloads online. Article Fifteen - Refund Policy: 1. Without prejudice to the provisions of the contractual and statutory warranty, the consumer has the right to terminate the contract and return the product provided by Square within seven days from the date of receipt, and not after seven days. 2. The condition for returning the product is that it is in good condition and that the consumer has not used or benefited from the product, and (store name) has the right to inspect the product before returning to ensure its safety. 3. The consumer cannot return the product in the following cases: - If the product was manufactured according to the consumer’s request or specifications he set, except for defective products or those that violate the specifications set by the consumer. - If the product is a video tape, discs, or software that has been used. - If the product is newspapers, magazines, publications, books, or other creative works. - If a defect appears in the product due to poor handling by the consumer. - If the contract involves providing accommodation, transportation, or catering services. - If the contract involves purchasing software downloads online. 4. If the provisions of the return policy are met, the consumer has the right to terminate the contract, return the product to Square, and get a refund of the paid amount. Article Sixteen - Applicable Law or System: This Terms of Use agreement is governed and drafted according to the laws, regulations, and legislations in force and valid in the Kingdom of Saudi Arabia, and is fully subject to the systems in force by the authorities in the Kingdom. Article Seventeen - General Provisions: - If any article or clause in this Terms of Use agreement is canceled or any article or clause in the agreement becomes invalid, such matter does not cancel the validity of the remaining articles, clauses, and provisions, which remain effective until further notice from Square’s management. - This agreement - which may be amended from time to time as needed - constitutes the Terms of Use, working mechanism, understanding, agreement, and contract between Square and the user. Both parties agree that the following should be taken into account: 1. The Arabic language is the language applicable when interpreting the provisions of this agreement or when translating it into another language. 2. All prices displayed for Square’s services or products may be amended from time to time. 3. Promotional or marketing offers that Square may place are temporary offers, and Square has the right to modify or stop these promotional or marketing offers at any time. 4. The parties to this agreement commit to dealing with each other in a manner that does not violate Sharia rules, applicable regulations, and laws related to the nature of dealings between Square and the user. 5. This Terms of Use agreement is only canceled by a decision issued by Square’s management.
